These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "Customer") and PolyBag.app LLC ("PolyBag," "we," "us," or "our"), a limited liability company organized in the State of Washington, United States, governing your access to and use of the PolyBag multi-carrier shipping and fulfillment platform at polybag.app and any related applications, APIs, or services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity. If you do not agree to these Terms, do not access or use the Service.
PolyBag is a multi-carrier shipping and fulfillment management platform for e-commerce merchants. The Service provides rate shopping across shipping carriers, a barcode-based pack-and-validate workflow, batch label printing, and integration with the Amazon Selling Partner API (SP-API) to import orders, generate shipping labels, and update Amazon with fulfillment status.
The Service is currently in an alpha / early access phase. Features, availability, and pricing described on polybag.app reflect the Service as currently offered and may evolve as we move toward general availability. We will provide reasonable notice of material changes to core functionality.
The Service is intended for business use by merchants and their authorized personnel, and is not directed to individual consumers acting outside a business capacity. You must be at least 18 years old and capable of forming a binding contract to create an account.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly at hello@polybag.app of any unauthorized use of your account or any other security incident involving the Service. You are responsible for ensuring that information you provide during registration is accurate and kept up to date.
PolyBag connects to your own USPS, FedEx, UPS, and/or other carrier accounts to generate shipping labels at your negotiated rates. PolyBag is not a carrier and does not resell postage. You are responsible for maintaining valid carrier accounts in good standing and for complying with each carrier's own terms of service.
PolyBag is not responsible for delays, losses, damages, or service failures caused by a shipping carrier, payment processor, or other third-party service that PolyBag integrates with but does not control. Your relationship with those third parties is governed by their own terms.
If you connect an Amazon Selling Partner account to PolyBag, the following additional terms apply:

Current pricing is described at polybag.app/pricing, which is incorporated into these Terms by reference. During the alpha / early access period, eligible participants may use the Service at no charge as described on that page, in exchange for periodic feedback.
Once paid plans launch, fees are billed in advance on a monthly or annual basis as selected at signup, in U.S. dollars unless otherwise agreed in writing. Monthly plans may be cancelled at any time, effective at the end of the current billing period. Annual plans may be cancelled before the renewal date to avoid renewal. Except as required by law or as otherwise stated at the time of purchase, fees are non-refundable.
We will provide reasonable advance notice before any fee increase takes effect for an existing subscription.
PolyBag and its licensors retain all right, title, and interest in and to the Service, including all software, designs, trademarks, and content we provide, other than data you submit. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.
You retain all rights to data you submit to the Service, including your order, product, and shipment data ("Customer Data"). You grant PolyBag a limited license to host, process, and transmit Customer Data solely to provide and improve the Service. Nothing in these Terms transfers ownership of Amazon Information or buyer data to PolyBag; that data is handled strictly as described in our Privacy Policy.
"PolyBag" and our logo are trademarks of PolyBag.app LLC. Amazon, the Amazon logo, and Selling Partner API are trademarks of Amazon.com, Inc. or its affiliates. Use of Amazon's trademarks is governed by Amazon's own trademark guidelines, and nothing in these Terms grants you any rights to Amazon's trademarks.
Our collection, use, and protection of personal data — including Amazon order and buyer data accessed via the SP-API — is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that data will be processed as described there.
Each party agrees to protect the other party's non-public business, technical, and account information ("Confidential Information") using at least the same degree of care it uses to protect its own confidential information of similar importance, and not to disclose that information except to employees, contractors, or service providers who need it to perform under these Terms and who are bound by confidentiality obligations at least as protective as those in this section. This section does not apply to information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLYBAG DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT RATE QUOTES, LABELS, OR TRACKING INFORMATION WILL BE ACCURATE IN EVERY INSTANCE, AS THIS DEPENDS IN PART ON THIRD-PARTY CARRIER AND MARKETPLACE SYSTEMS OUTSIDE OUR CONTROL.
During the alpha / early access period in particular, the Service is offered on an experimental basis and may contain bugs, incomplete features, or periods of downtime as we continue development.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLYBAG AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLYBAG'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO POLYBAG FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. Nothing in this section limits liability that cannot be limited under applicable law.
You agree to indemnify and hold PolyBag harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms or applicable law; (b) Customer Data you submit; or (c) your violation of any agreement with Amazon, a carrier, or any other third party. PolyBag agrees to indemnify and hold you harmless from any third-party claims to the extent arising from PolyBag's gross negligence or willful misconduct in providing the Service.
These Terms remain in effect while you use the Service. You may stop using the Service and close your account at any time by contacting hello@polybag.app.
We may suspend or terminate your access to the Service if: (a) you materially breach these Terms, including the Acceptable Use section, and do not cure the breach within a reasonable period after notice (or immediately, for breaches that pose a security or legal risk); (b) required to do so by Amazon, a carrier, or applicable law; or (c) your account is inactive or unpaid for an extended period after notice. Upon termination, your right to access the Service ends, though provisions of these Terms that by their nature should survive (including Sections 8, 10, 11, 12, 13, and 15) will continue to apply.
Following account closure, Customer Data is deleted in accordance with the retention schedule in our Privacy Policy.
These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws principles. Both parties consent to the exclusive jurisdiction and venue of the state and federal courts located in King County, Washington for any dispute arising out of or relating to these Terms or the Service, except where applicable law requires otherwise.
Before filing a claim, both parties agree to first attempt to resolve the dispute informally by contacting the other party in writing and describing the dispute in reasonable detail.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify active users by email or in-app notice at least 30 days before the changes take effect. Continued use of the Service after the effective date of revised Terms constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you should stop using the Service before they take effect.
